Terms and Conditions

Titanium's terms and conditions.

Definitions

Titanium Web Designs Ltd will be referred to as 'Titanium'.
The customer or organisation stated in the project agreement is referred as 'the client'.
Nominet Ltd, control all domain names and transfers. The company will be referred to as 'Nominet'.

1 Late Payments

1.1 Invoice must be paid in full within seven days of the invoice issue date unless paying via a 'pay-monthly' scheme which will require immediate payment on the date of the standing order.

1.2 Disputes must be stated prior to the payment due date and must be settled within 30 days.

1.3 Any disputes after the date of required payment will be invalid; furthermore the client will be subject to a 7% interest fee for every week the invoice is overdue. This also applies to any overdue invoices that have not been disputed.

1.4 After 30 days following an overdue payment, legal action will be taken immediately.

1.5 If cleared payment is not received within the given terms, the client will incur charges at 7% per week.

2 Deposits

2.1 A deposit of 50% must be paid to 'Titanium' after a confirmation of the given quotation. This is required before Titanium can proceed with any services including domain and hosting setup.

2.2 As soon as the deposit is cleared in Titanium's account, Titanium can start the the project.

2.3 Deposits are only available to companies who have passed a credit check. Individuals are liable to pay 100% of the given quotation.

3 Copyright

3.1 Everything Titanium creates, scripts, designs and develops is under ownership of Titanium.

3.2 Any script, design or development cannot be declared as the client's own and is property of Titanium.

3.3 Titanium owns all servers and domain names and will enforce the right to suspend the account of the client and its domain name/s if payment is failed to be made within the given time frame.

4 Payment

4.1 Titanium's payment scheme is based on the complexity and size of the work involved in development, design and creation of the client's website and is not subject to an hourly rate.

4.2 The quotation will describe all work to be completed.

4.3 Anything outside this original and accepted quotation will be subject to further charges and an invoice will be issued payable to Titanium.

4.4 Monthly payments will be made via BACS transfer, according to given dates by Titanium to the client or via a standing order which will be set up by the client in agreement with Titanium.

4.5 Titanium has the right to decline any type of work after an initial consultation or any additional requests made by the client.

4.6 Titanium requires all invoices to be paid within the given terms (7 days unless stated on the invoice).

5 Acceptance

5.1 Titanium holds the right to run credit checks on the client's behalf prior to commencement of work.

5.2 Titanium must collect the following data from each client before commencing any work:

First name
Last name
Company name (if applicable)
Company number (if applicable)
Charity number (if applicable)
VAT number (if applicable)
Full postal address
Contact details

6 Domain names

6.1 Titanium is not responsible for any spelling/grammar mistakes or misinterpreted details following contact with the client. If mistakes are made, all agreed fees still remain and will be charged to the client.

6.2 When purchasing a domain name for the client, an email will be sent confirming the name to be taken, and it is the client's responsibility to email immediately to confirm the domain name is correct.

6.3 Titanium can take no responsibility for a client's delay between naming an available domain and confirming/paying for the domain, as available domains can be bought at any time by any other web developer.

7 Domain transfers

7.1 Titanium holds all rights to withhold any domain name and content which will result in withholding access to the website both to the client and to the public if any outstanding payments are overdue.

7.2 The client will be held liable for any transfer fees charged via Nominet and Titanium.

7.3 The client understands that once a transfer has been complete, Titanium takes no further responsibilty for the domain name and its content.

7.4 If the client applies, the client must keep the copyright footer of its original developer.

8 Design

8.1 The client agrees and understands that design and development take time - an estimated completion date at every stage will be given.

8.2 Please ensure that mutual respect and politeness are maintained when speaking to our employees, and we will ensure that the same respect is shown to you.

8.3 Once you have chosen a design, regardless of whether additional designs are being completed, your decision will be adhered to and any additional design work will charge
